These Thai Spots Terms of Use (this “Agreement”) govern your access and use of the Thai Spots website, mobile sites, and applications (collectively, the “Thai Spots Sites”) as well as the content, features, and services (the “Services”) provided by Thai Spots.
By accessing or using the Services, or by clicking “accept” or “agree” to this Agreement, (1) you acknowledge that you have read, understand, and agree to be bound by this Agreement, and (2) you represent and warrant that you are of legal age and not prohibited by law from accessing or using the Services. THIS AGREEMENT CONTAINS AN ARBITRATION PROVISION WITH A CLASS ACTION WAIVER APPLICABLE TO USERS WORLDWIDE.
Thai Spots may update or revise this Agreement (including any Thai Spots Policies) periodically. You agree to review this Agreement periodically. You are free to decide whether to accept a modified version of this Agreement, but acceptance of the modified Agreement is required to continue using the Services. You may need to click “accept” or “agree” to indicate acceptance of any modified version. If you do not agree to the terms of this Agreement or any modifications, you must terminate your use of the Services.
Paid Promotions. Thai Spots offers paid promotion services for restaurateurs. The terms and conditions of these services are available after registration and verification as a restaurateur on the Thai Spots Sites.
Privacy Policy. Thai Spots is committed to safeguarding your privacy online. Please review our privacy policy for details on how we collect, use, and disclose information in connection with the Services.
Your Account. You may create an account with Thai Spots through the Thai Spots Sites (“Account”) to use the Services. When registering, you must provide accurate and complete data about yourself. You are responsible for maintaining the confidentiality of your Account and agree to notify Thai Spots immediately of any unauthorized use.
Communications from Thai Spots. By using our Sites and Services, you consent to receive electronic messages, including emails, from Thai Spots in accordance with our privacy policy. You may opt out of receiving newsletters by following the instructions provided in the emails.
Technical Requirements. Use of the Services requires Internet access through your computer or mobile device. You are responsible for all mobile carrier data or text message charges resulting from your use of the Services. Thai Spots does not guarantee compatibility with all devices or support from all mobile carriers.
Modifications to Service. Thai Spots reserves the right to modify the Services without notice, including by adding or removing features. Your continued use of the Services after any modifications indicates your acceptance of the changes.
Intellectual Property Rights and Grant of Rights to User. The content provided through the Services is protected by intellectual property laws. No license is granted to users for any purpose other than as expressly permitted. Thai Spots retains all rights in the Services and content.
Application License. Subject to this Agreement, Thai Spots grants users a non-exclusive, non-transferable license to use the Thai Spots mobile applications to support their use of the Services.
Use Restrictions. The Services and content are for personal use only. Users agree not to use any automated means to access the Services or interfere with their functionality. Thai Spots reserves the right to refuse service or terminate accounts for violations.
United States Government End Users. The Services are considered commercial items, and all U.S. Government end users acquire them with only the rights set forth herein.
Export Control. Users may not use the Services in violation of applicable laws, including export laws.
Termination. Thai Spots may suspend or terminate your access to the Services for violations of this Agreement. After termination, you may not be granted permission to use the Services or re-establish an Account.
Reviews, Comments, Communications, and Other Content. Users may submit content through the Services, but it must comply with this Agreement. Thai Spots reserves the right to monitor, remove, or edit user content.
Your Representations and Indemnity. Users represent that they own or control all rights to any content submitted and agree to indemnify Thai Spots for any claims resulting from using the Services.
Liability Limitations. Thai Spots is not liable for any damages arising from use of the Services, including but not limited to direct, indirect, incidental, or consequential damages.
Disclaimer of Warranties. The Services are provided “as is” without warranties of any kind. Thai Spots does not guarantee uninterrupted or error-free use of the Services.
Third-Party Websites, Applications, and Services. Thai Spots is not responsible for the content of third-party websites linked through the Services.
Release. Users release Thai Spots from any claims arising from interactions with restaurants or merchants accessed through the Services.
Severability. If any provision of this Agreement is found to be invalid, the remaining provisions shall remain in effect.
Assignment. Users may not transfer this Agreement, but Thai Spots may.
Waiver. Any waiver of this Agreement must be in writing and shall not constitute a continuing waiver.
Arbitration Agreement and Class Action Waiver. Disputes between users and Thai Spots shall be settled through binding arbitration, except for certain excluded claims.
Choice of Law. This Agreement is governed by the laws of Thailand.
Limitation of Liability and Indemnification. To the extent permitted by law, you agree to release, defend, indemnify, and hold Thai Spots and its affiliates, officers, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of this Agreement.
